Terms of Service

1. Acceptance of Terms

By accessing or using the Exelere platform and services ("Services") provided by SACE Technology Solutions ("Exelere", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to do so.

2. Description of Services

Exelere provides AI-powered education management software and related services, including but not limited to student lifecycle management, admissions automation, compliance intelligence, workflow automation, and analytics platforms. The specific features available to you depend on your subscription plan and service agreement.

3. User Accounts and Access

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorised use of your account.
  • You are responsible for all activities that occur under your account.
  • You must not share account credentials with unauthorised individuals.
  • Accounts must not be used by more than one individual unless reassigned.

4. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Transmit any harmful, offensive, or unlawful content
  • Attempt to gain unauthorised access to our systems or other users' data
  • Reverse engineer, decompile, or disassemble any part of our platform
  • Resell, sublicense, or commercially exploit our Services without written consent
  • Use automated tools to scrape, crawl, or extract data from our platform
  • Interfere with or disrupt the integrity or performance of the Services

5. Data Ownership and Responsibilities

You retain all ownership rights to the data you input into the Exelere platform ("Customer Data"). By using our Services, you grant us a limited licence to process your Customer Data solely to provide the Services. You are responsible for ensuring the accuracy, legality, and appropriateness of your Customer Data.

6. Intellectual Property

Exelere and its licensors retain all intellectual property rights in the Services, including software, designs, algorithms, and documentation. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the Services as described herein.

7. Service Availability and Support

We strive to maintain high availability of our platform and target 99.9% uptime, subject to scheduled maintenance and circumstances beyond our reasonable control. Support is provided in accordance with your service agreement. We do not guarantee uninterrupted access to the Services.

8. Fees and Payment

Fees for using the Services are set out in your service agreement or subscription plan. All fees are non-refundable except as expressly stated in your agreement. We reserve the right to modify pricing with reasonable notice to existing customers.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Exelere shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Services. Our total liability shall not exceed the amounts paid by you to us in the twelve months preceding the claim.

10. Termination

Either party may terminate the service relationship in accordance with the applicable service agreement. Upon termination, your right to use the Services ceases immediately. We will provide a reasonable period for you to export your Customer Data before deletion, subject to the terms of your agreement.

11. Governing Law

These Terms are governed by the laws of South Australia, Australia, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Australia, Australia.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice for material changes. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
